TORINGO SOFTWARE LIBRARY LICENSE AGREEMENT

* For a person, or an organization that is non-profit (including public schools), or has gross annual revenue of less than $500,000 USD:
1) You may install one license on up to 3 machines, but only one full-time employee may use them at a time;
2) You also may provide the license to a contractor who develop software for you and agree all the terms of this agreement;
3) You agree not to use license key of someone else.

* For an organization that has gross annual revenue of more than $500,000 USD (including $500,000 USD):
1) You may install your license key on up to 3 machines, but only one full-time employee of you may use them at a time.
2) You agree not to provide or share the license to anyone else except your full-time employee;
3) You agree not to use license key of someone else.

* For a contractor who receive the license key from the client:
1) You shall first contact us to confirm the validity of the license key, and agree not to use the license without our prior consent;
2) You may install one license received from the client on up to 3 machines, and only use it in the projects which commissioned by the client who provides the license to you;
3) You agree not to provide or share the license to anyone else except your full-time employee, even if he/she is commissioned by you to develop the software of the client.

* If you are using a trial version, you are only entitled to use the product for evaluation and testing purposes, you are not allowed to compile any application with the product together.

* You agree not to transfer your license to someone else, without receiving written authorization from us.

* You agree not to decompile, reverse engineer or modify any part of our software library products.

* We reserve the right to cancel any license key of any user who is determined in violation of this agreement by us.

THE WARRANTIES IN THIS AGREEMENT REPLACE ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE LIBRARY SOFTWARE IS PROVIDED "AS IS" AND WE DISCLAIMS AND EXCLUDES ALL OTHER WARRANTIES. IN NO EVENT WILL WE BE LIABLE FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE HAVE KNOWLEDGE OF THE POTIENTIAL LOSS OR DAMAGE.

If the laws of the region you are located do not allow the exclusion of warranties, so the above exclusion may not apply to you.

As used in this Agreement, the term "We", Toringo Software Consultancy Corporation Limited, is the owner, developer and sole copyright holder of this software library product, which is licensed but not sold to you on a non-exclusive basis. The terms "You" and "Your" include you, your company, if any, and each of your or its successors in interest, subsidiaries, affiliates, commonly controlled entities, owners, shareholders, members, directors, managers, officers, employees, family members, representatives, lenders, and investors.
